I have Windows 98 and a Netgear USB adapter. The netgear
guys tell me that their adapter only works with Win 98 2nd
edition. Any of you guys know how to upgrade to Win 98
2nd without paying for a new OS. ie. Is there a download
that will do the trick? Thanks.

I'm sorry, but there's no download that can do the upgrade.

Which Netgear USB adapter do you have? The MA101 and MA111 work fine
on my computer that runs the original version of Windows 98, even
though the MA111 documentation says that it requires Windows 98 Second
Edition.
