win98se shutdown and ndis

eversince i got a cable modem it won't shutdown. i have
an epox 8rda+ board with nvidia unified drivers 2.41.
occasionally, if it just doesn't hang at the windows logo
during shutdown, then it goes to the blue fatal exception
oe screen and it displays "vxd" and "ndis". i could not
find this in the windows fatal exception page. any help
would be great, much appreciated.
