Depends on your IPSec policy. If the Win2k3 server has been set up to
require IPSec for all connections, then yes, the lack of native IPSec
ability within win98 would certainly be a problem for you.

However, given that IPSec is not a light-weight feature, I'd suspect that
you'd already know if such was the case, and instead would see what the ICF
log has to say. On the logging tab of the ICF UI (for any interface, it's a
global setting) check the box for logging dropped packets. Attempt to
connect then check to see what the firewall bounced.
