Default Scalable Network Pack problems

I have bought two HP TOE NIC's (NC3xx series) to try and speed up backups
from a client server to a backup server. I tested them on test boxes and got
one to make TOE connections but the server didn't seem to work. So I
installed them in the production boxes and now neither one works. The backup
server is running SNP w/ SP1 due to issues with SP2. The server to be backed
up is running SP2.

We have all the latest NIC drivers from HP installed. There were older NICs
in these boxes and on the server to be backed, where I need TOE the most, I
uninstalled the drivers as they were NDIS 5.1 compatible and disabled the
hardware in the HP BIOS. According to MSINFO32 the drivers for the older
NICs are not loading any more.

We do not use Windows Firewall as we are inside Checkpoint firewalls. We
dont use RRAS at all so I disable the Remote Access and Telephony services.
According to NETSH we dont have any IPSEC policies assigned and active. The
only other sofware issue I am not sure of is there are any NDIS 5.1
intermediate drivers. I found a reference that Network Monitor loaded in the
OS causes an intermediate driver to be loaded but we aren't using that on
either of the servers we are trying this on.

Any other way to see of a NDIS 5.1 intermediate driver is being used in the
System? I have read 912222 until the cows came home and no further clues
there. More info from Microsoft would have been very help since SNP is their
product, not HP's. Google searches haven't produced a smoking gun either.

Any suggestions or help would be greatly appreciated.

Thanks in advance.
