shares fail, nbtstat doesnt work and server service won't stop

I have a Win2k3 server fully patch running as a SDC, and file server.
Almost everyday at around the same time, at least within a 20 min time
frame, the shares on the server stop responding.
On the server itself I can "run" the server name or its IP and it shows the
list of shares but none of them open. The window hangs.
I have found out that during this time of failure the nbtstat command does
nothing. it just return the prompt back to the dir your in just like hitting
the enter key.
I have also found out that if I try to restart the server service it shuts
down the 3 dependant services fine but the server service it's self won't
shutdown. It comes back with the doesn't respond in a timely fashion error.
The only way to fix it is to reboot the system. The system works fine at the
console and I can RDP to the system in this failed state it's only accessing
the network shares.
There are no schedualed tasks at this time and if there were then this would
happen at the same time everyday, but it does happen within about 20mins of
10:40am Monday to Friday only. Doesn't seem to happen on the weekends.

Any help here would be great as this is a big issue with some 150 users
losing access everyday.

Sorry I forgot to add that the event logs show nothing going wrong at this
time. they are very clean and show mostly info, but now warnings or failures.

I have seen elections but not on this system. There are no elections on this
server anywhere near that time of the failure, which occured again today at
about 10:30am
