phantom domain controller?

Hello

I have W2000 desktop and XP laptop and W2003 server local network.

I get warnings from the server that I have one or more unlicensed domain
controller, and that the server will shutdown unless I turn off all but
one domain controller.

Since only one domain controller has been configured and showing in
Active Directory, I am not sure where this is coming from.

I did a netdiag on the W2000 desktop. The DC discovery test passed but
the DC list test (to identify all the domain controller in the network)
failed: "cannot call DsBind to serverxxx [.SEC_E_SECURITY_QOS_FALED]

I cannot get netdiag (which I downloaded and installed) to work on the
server.

In the meanwhile my server continues to shutdown, though it's kind
enough to give me a 30 min warning.

Any suggestions appreciated

Is DNS setup correctly? IE the DC is the DNS server and it points to itself
only for DNS? Also when you go into AD Site and Services do you see anything
in there?

Thanks for your response.
This problem is erratic, it seems to disappear for a few days and then
return. (This occurs when same user is logged on client computer as well
has a remote desktop connection to the server

The AD Site and Service lists items for server only.

The AD Domain and Trusts identify the single known DC
(The Netdiag test also shows just this one DC in the DC list)

The server is configured with DC and all machines IP ports point to the
DNS server
