Peer to Peer Access Permissions

Ok, I know this is Windows98 networking group, but I haven't had success in
posting to Windows XP groups so here it goes.....

I have 2 PCs with XP Pro I want to connect together using Crossover cable.
PC1 is P4 2.4Ghz with integrated Realtek Network Card
PC2 is PII 450Mhz with Netgear PC Network card

Both PCs have users logged in with Administrator Rights.

File sharing has been set on both PCs, Firewall been disabled in both PCs.

But when browsing network if I try to access PC1 from PC2 it return error
message saying Do not have Access Permissions and Semaphore timeout record
has expired..... and vice versa.

I have tried using manual IP settings and Automatic and still get same
results.
Tried Pinging and it doesn't seem to work.

Is it possible that the broadband connection on PC1 is causing conflicts, is
uses a USB Modem that has an ATM netwrok connection and DIALUP connection to
access it.

I have tried for several days now without success and looked at hundreds of
Websites and can't find anything that helps resolve the problem.

Any suggestions for resolving this issue would be most welcome
