NIC IP Grayed OUT

I have a weird issue.
W03 SP2 DC (dual NIC-one is disabled). It had been working for almost a year.
I recently checked the settings, and noticed that the IP was on dynamic. I
tried it to re-set to static, but the NIC will not hold the settings.
(History-There was an issue with the Dell TOE adapter a while back, and it
was RMA'd. We uninstalled TOE, and have not re-installed the system board
adapter.)
During the tech call, the technician had us go back and forth between the 2
nic-disabling/enabling, applying IPs...

I cannot re-install the OS-very bad scenario.
How can this be resolved?

It could there's still a hidden NIC using the static IP you want to use.
