Nic adapter card drivers

I have Nic card with the chip marked MX98715AEC.
WHEN I TRY TO LOAD PRO 120 DRIVERS IT TELL ME TO INSERT
Win 98 install software but not able to find at least
these two file:
mxnic.sys
netmxic.inf
With out them I get a bad installation.
Is this the correct drivers for this net adapter or do I
need some other drivers.
