Networking WinME with DSL with WinXP machine

Help! I have an ME machine that has 2 ethernet cards--1
for internet and one for a LAN. I have an XP machine with
1 card (for the LAN). I am trying to set up a home LAN.
I have tried all setup wizards multiple times. I have
green lights on all connections. Each machine appears to
have a network that contains only itself. I cannot ping
the ME machine from the XP machine. I have been to
several websites including careyholzman.com,
practicallynetworked.com, etc. I cannot find a fix that
works. I've spent 4 hours on this.

I have searched for the XP machine in 'My Network Places'
and it isn't found. I have tried to ping the ME machine
from the XP machine and it gets no reply.

HELP.

How are you connecting the two PC's together-- NIC to NIC via a crossover
cable?
