Honestly this is a time consuming and complicated task and too much to get
into here in the groups as a simple response. I would highly suggest to hire
a qualified consultant in your area to perform this for your company.
To summarize...
Simply put, you will need to first upgrade Ex55 to 2003. To accomplish this,
you need to install Ex2003 into Active Directory and as part of the existing
Ex55 organization. Then you can move the mailboxes over and decomission the
55 box.
THis is actually installing it into the 55 org:

Then when done moving mailboxes, you have to remove Ex55 from the org:

Installing Ex2003 into AD is associated with a number of tasks, mainly
updating the schema. There are also a number of installation options when it
comes to Ex55 migration. Myself, I would rather do a clean install, then
export using Exmerge Two Step method.

Terminal services is another story whether using App or Remote mode because
App mode involves licensing and if you are going to use two, it complicates
it a bit.
