NDIS Shutdown Problem - Help Needed

My Windows ME computer hangs at a soft re-start or when shutting down. Just stops at
flashing cursor on blank screen and only hard re-set will get out of it.

If I un-tick the NDIS.VXD static vxd in msconfig, this solves the problem, BUT I then can't
access the Internet from this networked computer or access the files on this computer from
other computers on the network.

Problem is mentioned in MS Knowledge bases, BUT no apparent solution or Hotfix?
