missing vxd files

I have recently tries to install on a pci network card ( intel bases). and in
device manage it comes up with an exclamation point, upon further review it
tell me that the driver are not loaded. have tried uninstall and reinstall,
gone to intell site for altneranative drivers, ndis.vxd and one other
file(vxd) missing how do I extract from install cd and where do they go?

In DM, in the adapters properties click the resource tab and check if any
resource conflicts exists.
