I've got a little problem..I don't know if someone could help me out!...

I have one HOST server with Windows 2003(AD+DNS+DHCP) where is a cable modem
connected that provides the internet and a GUEST server with Windows 2003
(fixed ip) installed in a virtual machine (VMWARE 5.5), where i can't get
no access to the internet.

What can i do at tehe moment:
1. i can ping in both ways (host -> guest ; guest -> host)
2. i can access internet through the HOST server

What i've already did to try solve this issue:
1. Created some exceptions opening some ports such as 80 and 8080

What should i do next?...

You do that just the same way that you would share an Internet
connection to a second "real" machine. You set up RRAS as a NAT router to
share the connection. But you will have all of the problems that you get
running a DC as a router. And you will have the DNS problems you get running
AD behind a NAT router.

Just buy a Broadband NAT Device and use it as the Edge Device for your
network. Then the "real" PC and any of the VPCs would just use one Nic on
the same network and all would use the NAT Device as the Default Gateway.

If you have never done it, I suggest that you don't try it. As I
indicated, there are problems using a DC as a router. It is not recommended.
(The only exception is SBS server which is designed to do this job.) DCs
should not have multiple network connections and should not have direct
access to the Internet.
