Okay, my Windows 2000 server is getting shakey and I am about to create a
solution that moves all the file shares to a different server (2003) All XP
clients have home directories on this server and invariably have offline
files unsyncronised. We have about 200+ laptops at any one time connected or
otherwise.

If I swap the share onto a similarly named file share and rename the new
server so that the file share is transparant to the original set up, will the
clients synchronise or will I have screaming users saying their offline files
have all disappeared?

So let me get this right you are going to:

1: Migrate the data across
2: Create identical share(s)
3: Take out the old W2k file server
4: rename the new server to be the same name as the old server

If this is right, then it should work just fine. Just ensure that the
caching settings on the share allow offline files (the do by default)

I'd also consider using the same IP address on the new server once the old
one is out of the way so that you don't have any DNS record caching on the
clients trying to get to the server with the old IP address until the TTL on
the record fails

Cheers,
Jeremy.
