crashing on new NIC

I have a Win2k server SP4 with all patches running IIS. I just replaced the
10/100 network card with a new 1GB Netgear card GA311. The machine now
crashes with a blue screen seemingly after a random period of time but
definitely during the initiation of heavier network usage to/fro. I've
reinstalled drivers, switched PCI slots, and there are no hardware conflicts
showing...none of which has helped.

My event system log shows Event 115 errors (the service could not bind
instance x) several times a couple minutes before the save dump Event 1001
entry.

The blue screen of death shows:
