Can't Activate Upgrade of W2K3 (Repost)

Help guys ... I'm running out of time to activate!!

I upgraded 2 servers from Windows Server 2000 to Windows Server 2003. While
I can activate 1 just fine, the other will not activate.

I debugged the problem and found that this server cannot connect to
microsoft.com on port 443. HOWEVER, it can connect to a host of other SSL
sites on port 443. Even Telnet to www.microsoft.com on port 443 does not
work.

Both machines are identical in their network configurations (with the
exception of the static IP). Each has 1 NIC with the same DNS, WINS, and
default gateway. There is a firewall, but it doesn't block 443 (BUT, I even
swapped their IPs to give the "broken" machine the other "working" machine's
IP, brought down the "working" machine, and it still failed).

It's funny that the only site affected is microsoft.com. I've checked the
Internet Connection settings, and there doesn't appear to be anything fishy.
I cleared the SSL State cache, all temporary objects, but still no luck.

Any ideas on how I can get this connectivity back?

I guess I could resort to that, but I'm so disturbed by what the problem is
I'd really like to get it fixed. Yes, it came off of the same CD, but I
have different license keys.

It's really bizarre that it only affects windows.com too. I can SSL to a
bunch of other sites that use port 443. Really crazy.

Activation's been a bit glitchy for me at times too. The way I see it, if I
try to understand what's wrong I just wind up more confused ;-)

I understand - but what I REALLY want to know is why communications on port
443 is blocked to me on the Microsoft site for this one server. SUre, I can
solve the current problem by just calling in, but the problem still exists.
The workaround doesn't solve the problem. What I need is a way to debug and
solve the problem.

OK, so I bowed to pressure and activated via phone. HOWEVER, the problem
has manifested itself in WindowsUpdate. I can't get any updates via
https://v4.windowsupdate.microsoft.com/getmanifest.asp without getting an
error 80000C008. It says my time is off, but the real problem is something
about an expired MS cert.

I can get around the problem EACH TIME by visiting the manifest site
explicitly and then ignoring the error message. THEN, the next time I go to
WIndowsUpdate, I can get the library of updates. But, I need to do this
EACH TIME.

This problem is driving me crazy, and it only happens on this one server
that was upgraded from W2K (all others work fine).

I need some help in solving the problem and not just covering it up.
Someone, please help!
